  • The role constitutes the Chief Legal Advisor of the company supervising and managing the operations of the legal department and board secretariat
Job Accountabilities
  • Advises the board of directors on all legal matters
  • Represents the company in court and other such fora
  • Ensures all legal requirements for facilities granted by the company are complied with
  • Gives legal opinion to management and other departments
  • Drafting and reviewing contracts, agreements, etc for both management and board consideration
  • Assists other departments including portfolio management and recoveries in loan recovery efforts against defaulting customers
  • Coordinates the scheduling of board meetings and preparation of notice and agenda
  • Acting as a liaison for all the board's committees to ensure the smooth running of their activities among other responsibilities
  • Keeps record of board meetings, proceedings and decisions arrived and issues the relative extracts for the information of operating units
  • Coordinates the holding of AGM, arranges for the publication of the company's annual accounts and report for AGM and filing of annual returns at the registrar general's department
  • Keeps custody of board documents, minutes, copies of agenda and the company's seal.
  • Maintains a file of signatories of the company and periodically arranges for its update
Qualification Required & Experience
  • Legal practitioner with a minimum of 10 years work experience in legal practice
  • Qualification in secretaryship with at least 5 years of experience in a similar role
  • A good degree in business administration will be an added advantage
  • Sound knowledge of all aspects of the company's core businesses, including human resource management will be an added advantage
Person Specifications
  • Practicing license as a Lawyer
  • A good knowledge of the company's law, regulation, policies and practices
  • Excellent communication and interpersonal skills
  • Computer literacy - Microsoft office skills
  • Strong negotiation and analytical skills
  • Ability to work under pressure
  • Good presentation and reporting skills
  • Dependable and ability to maintain confidentiality
  • Demonstrate knowledge of workplace practices and policies
