Legal / Board Secretary by Reputable Company

- The role constitutes the Chief Legal Advisor of the company supervising and managing the operations of the legal department and board secretariat
- Advises the board of directors on all legal matters
- Represents the company in court and other such fora
- Ensures all legal requirements for facilities granted by the company are complied with
- Gives legal opinion to management and other departments
- Drafting and reviewing contracts, agreements, etc for both management and board consideration
- Assists other departments including portfolio management and recoveries in loan recovery efforts against defaulting customers
- Coordinates the scheduling of board meetings and preparation of notice and agenda
- Acting as a liaison for all the board's committees to ensure the smooth running of their activities among other responsibilities
- Keeps record of board meetings, proceedings and decisions arrived and issues the relative extracts for the information of operating units
- Coordinates the holding of AGM, arranges for the publication of the company's annual accounts and report for AGM and filing of annual returns at the registrar general's department
- Keeps custody of board documents, minutes, copies of agenda and the company's seal.
- Maintains a file of signatories of the company and periodically arranges for its update
- Legal practitioner with a minimum of 10 years work experience in legal practice
- Qualification in secretaryship with at least 5 years of experience in a similar role
- A good degree in business administration will be an added advantage
- Sound knowledge of all aspects of the company's core businesses, including human resource management will be an added advantage
- Practicing license as a Lawyer
- A good knowledge of the company's law, regulation, policies and practices
- Excellent communication and interpersonal skills
- Computer literacy - Microsoft office skills
- Strong negotiation and analytical skills
- Ability to work under pressure
- Good presentation and reporting skills
- Dependable and ability to maintain confidentiality
- Demonstrate knowledge of workplace practices and policies
