- A Company secretary is a vital link between the company and its board of directors, shareholders, government and regulatory authorities and all other stakeholders
- He/She ensures that board procedures are followed and regularly reviewed and provides guidance to the Chairperson and the Directors on their responsibilities under various laws
- Assist the Board in complying with the company's constitution and any relevant law, ensuring that regulations governing the company's activities are adhered to
- Keep the books and records of the company - registers, minutes books of Directors Annual General Meetings, and financial record in the appropriate files for future reference
- Ensure that the minutes of meetings of shareholders are properly recorded.
- In consultation with the board chairman, prepare the agenda for each board meeting, as well as the Sub Committee meetings
- Prepare and issue notices in the name of the company.
- Ensure that the annual financial statements are dispatched to those entitled to receive them.
- Ensure that all statutory forms and returns are duly filed with the registrar
- Maintain the statutory registers of the company like the register of members and beneficial owners, register of directors and company secretaries, etc. . Guidance on the board's powers, duties and responsibilities and changes and developments in the laws affecting company operation
- Inform the board of relevant legislation affecting meetings of shareholders and directors and their failure to comply with legislation and reporting accordingly at any meeting
- Advise the Directors on their responsibilities to the company.
- Maintain confidentiality and avoid disclosing corporate matters to outsiders without proper approval
- Act with integrity to ensure the company complies with all legal and regulatory
- A relevant academic and professional qualification that demonstrates the capacity to perform the secretary's duties
- Must be a lawyer in good standing.
- Membership of the Chartered Governance Institute will be an advantage
- Minimum of 12 years of company secretarial practice with a sound knowledge of company secretarial practice and the administrative requirements.
- A minimum of 3 years of proven experience as a Legal Practitioner in commercial / corporate governance
